City Council Decision
City Council on November 7, 8 and 9, 2017, adopted the following:
1. City Council appoint the following 3 candidates to the Toronto Realty Agency Board, at pleasure of Council, for a term of office commencing January 1, 2018 and ending on December 31, 2019, and until successors are appointed:
- Jane Beatty
- Dennis Fotinos
- Sandra Levy
2. City Council appoint the following 3 candidates to the Toronto Realty Agency Board, at pleasure of Council, for a term of office commencing January 1, 2018 and ending on December 31, 2021, and until successors are appointed:
- Ron Carinci
- Marcie Zajdeman
3. City Council appoint the following candidate as Chair of the Toronto Realty Agency Board, at pleasure of Council, for a term of office commencing January 1, 2018 and ending on December 31, 2021, and until a successor is appointed:
- Dino Chiesa
4. City Council request the Integrity Commissioner to review the Code of Conduct for Local Boards and recommend any required amendments to the Code of Conduct for the Toronto Realty Agency Board given its fiduciary responsibilities.
5. City Council direct that the confidential information contained in Confidential Attachments 1, 2, and 3 to the report (October 18, 2017) from the City Clerk remain confidential in their entirety as they relate to personal matters about identifiable individuals being considered for appointment to the Toronto Realty Agency Board.

Appointees' biographies:
Jane Beatty
A retired corporate lawyer, Jane brings extensive and varied work experience with boards as General Counsel and Secretary to HOOPP, CPP Investment Board, and MCAP; and as legal counsel for investments with Ontario Teachers'; and in private legal practice at Osler. Jane has also served on several non-profit boards. She holds a Master of Laws in Securities Law and has completed the Directors Education Program offered by the Institute of Corporate Directors at the Rotman School of Business
Ron Carinci
Ron Carinci is Chief Operating Officer of the Urbacon Group of Companies which constructs and develops major commercial, industrial, infrastructure, and public sector projects, data centres and critical facilities. He has a law degree from Osgoode Hall Law School and previously practiced real estate, corporate and commercial law for 15 years. Ron is a board member of the Jays Care Foundation which creates lasting social change for children and youth in marginalized communities across Canada.
Dino Chiesa
Mr. Chiesa is the current Chair of the Toronto Realty Agency. His work experiences include CEO of both the Ontario Housing Corporation and the Ontario Mortgage Corporation and the Assistant Deputy Minister of the Ontario Ministry of Municipal Affaris and Housing. Dino has served on many boards, including as the Chair of the Canada Mortgage and Housing Corporation (CMHC), as the Vice Chair of the Toronto Lands Corporation, and - currently - as the Chair of the Sienna Senior Living Board.
Dennis Fotinos
Dennis Fotinos is a performance driven thought leader with notable turnaround management achievements and leadership success in engaging and developing talent to drive strategy and profitable growth. He initiated and led the corporate reorganization that created Enwave and then led the transformation of the company into an industry leader. Notably, he developed the Deep Lake Water Cooling system and established the commercial strategy that brought the company's capabilities to market.
Sandra Levy
Sandra Levy joined First Capital Realty Inc. as Vice President, People and Corporate Affairs in 2015. First Capital Realty is one of Canada's leading real estate owners and developers of urban shopping centres. Ms. Levy was previously a senior executive with Ply Gem Canada and Magna International. Ms. Levy has sat on a number of corporate and volunteer boards. She has over 18 years of experience in legal and human resources roles. She holds an LL.B from Osgoode Hall Law School.
Marcie Zajdeman
After six years of practice in international law firms, Marcie Zajdeman joined the energy industry in 1998, specializing in real estate/secondary land use and permitting, while instructing for the Law Society of Upper Canada. From 2008 until 2015, she was Vice President, Legal and Regulatory with Brookfield, providing legal and regulatory advice and strategic and policy direction for the utility platform. Currently, Ms. Zajdeman is Adjunct Faculty at Osgoode Hall Law School, while also working as an energy consultant.

Councillor Davis, rising on a Point of Privilege, stated that Deputy Mayor Minnan-Wong had implied that she thought something was wrong and had suspicions about the public members being appointed, and asked that Deputy Mayor Minnan-Wong not make such comments.
