The meeting of the Board of Directors of the Toronto Atmospheric Fund will be held by electronic means and the proceedings of the Board of Directors of the Toronto Atmospheric Fund will be conducted publicly. 

 

These measures are necessary to comply with physical distancing requirements and as civic buildings are closed to the public.

 

Board members and participating Officials will be provided with the video conference details closer to the meeting date.

Closed Meeting Requirements: If the Board of Directors of Toronto Atmospheric Fund wants to meet in closed session (privately), a member of the Board must make a motion to do so and give the reason why the Board has to meet privately (City of Toronto Act, 2006).

Recommendations

The Vice President, Impact Investing recommends that the Board of Directors of the Toronto Atmospheric Fund:

 

1.  Direct that the confidential information contained in Confidential Attachments 1 and 2 remain confidential in their entirety, as they contain commercial and financial information, supplied in confidence to The Atmospheric Fund, which, if disclosed, could reasonably be expected to significantly prejudice the competitive position, or interfere significantly with the contractual or other negotiations of a person, group of persons, or organization.

Summary

This report pertains to the potential for an additional investment, following on previous investment. If advanced it would comply with investment limits as set out in Toronto Atmospheric Fund’s investment policy.
